Converting an existing Community Benefit Society (CBS) to a Charitable Community Benefit Society (CCBS)

✅ Step-by-Step Procedure to Convert a CBS to a CCBS (England)

1. Check Eligibility for Charitable Status

  • Your society must meet the charity law requirements:
    • Exclusively charitable purposes (as defined in the Charities Act 2011) There may be other aspects of rules that require amendment too – including rules around use of surpluses, payment of profits, and dissolution. You will also wish to note that if the society has the community benefit society statutory asset lock within its rules, it cannot become a charity (because those rules are legally unalterable and are too broad to meet the charity law test).
    • Activities must benefit the public
    • Must not distribute profits to members — instead, profits must be used for the society’s charitable purposes

    2. Amend the Society's Rules

  • You must change the rules of the CBS to:
    • Include charitable purposes only
    • Restrict use of assets for charitable use (this includes an asset lock)
    • Remove any powers that conflict with charity law (e.g., distributions to
      members)
    • Make sure the rules align with the FCA’s model rules for charitable CBSs (not mandatory but advisable)
  • Procedure:
    • Pass a special resolution (typically requires 75% approval of members voting)
    • You may need to:
    • Call a general meeting
    • Provide notice as per your society's existing rules

    3. Submit Rule Change to the FCA

  • After the special resolution, apply to the FCA to register the rule change:
    • Use Mutual Society Change of Rules Form
    • Include:
    • A copy of a special resolution
    • Updated rules
    • Payment (check FCA fee structure)
    • Supporting explanation (e.g., how you meet charitable requirements)
  • FCA reviews to confirm your revised rules comply with the Co-operative and Community Benefit Societies Act 2014 and charity law.
  • 4. Apply for Recognition as a Charity with HMRC

  • Once the rule changes are accepted and registered by the FCA, apply to HMRC to get recognition of the society as a charity for tax purposes:
    • Use HMRC’s online service (Charities Online)
    • Provide:
    • FCA registration confirmation
    • Governing document (the new rules)
    • Details of trustees/board
    • Evidence of charitable activities
    Note: CCBSs are exempt charities and do not register with the Charity Commission but are still regulated under charity law.

    5. Notify Relevant Stakeholders

  • Inform members, partners, funders, and other regulators (e.g. if involved in housing or education) of your new charitable status.
  • - Important Notes

    • You retain your registration number with the FCA — the society remains the same legal entity.
    • The FCA will not label you charitable” unless your rules meet the test.
    • Once a CCBS, you become an exempt charity, regulated by the FCA instead of the Charity Commission.
